Contract Formation

No contract shall subsist between you and Ardent Systems Ltd or ArdentSystems for the sale by it to you of any product unless and until Ardent Systems Ltd accepts your order by sending you a VAT invoice.
Ardent Systems Ltd specialises in selling to business users and reserves the right to refuse orders it deems to be of large quantity or placed by resellers unless agreed prior to order placement.

Business Use
ArdentSystems supplies on a business to buiness basis. In placing any orders with Ardent System you accept that you are doing so in a business capacity and not as an individual consumer, and agree that any subsequent contract if formed shall be on a business to business basis .

Your order confirmation is for your convenience only and does not constitute an acceptance of your order. That acceptance will be deemed complete and will be deemed for all purposes to have been effectively communicated to you at the time Ardent Systems sends the email to you (whether or not you receive that email).

Title in the goods shall not pass to the customer until all sums due from the customer to the supplier on any account have been paid.

Pricing

"RRP Price" - any "list price" used on this Site represents the manufacturers' suggested selling prices and may not be indicative of the prevailing selling prices at any specific time and place in your area.

"Our Price" - despite our careful attention to pricing, an item could be mis-priced inadvertently. If an item's correct price is lower than our quoted price, we will charge the lower (correct) amount and deliver the item to you. If an item's correct price is higher than our quoted price, Ardent Systems shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. However, we might at our discretion decide to honour the lower (incorrect) price and send the item in order not to cause you inconvenience.

You "Save" - all references to your "savings" on this Site are based on your average savings relative to the "list price" excluding the VAT calculation.

Your Order

We reserve the right to substitute goods within your order with goods of an equivalent nature (eg a blue stapler for a red one). If you do not wish to accept the substituted goods then you must arrange with us to return them to us within 7 days of their receipt. Do NOT return items without prior agreement and arrangement.

Communication

We may contact you periodically to communicate promotions and special offers. As per the Privacy and Electronic Communications Regulations Act (PECR) 2003, on every communication a valid 'opt-out' option will be provided.

Full payment required before despatch. Account Customers pay within agreed terms.

Shipping And Handling Shipping of small items will be made by national carrier services, and require signature on delivery. Large and heavy items will be made by specialist carriers, and may require prior arrangement with the customer due to any special handling required.

Delivery commencement is subject to availability of stock.

Delivery charges assume strainghtforward access.

For bulky or heavy items (e.g batteries or furniture) the access is assumed to be straight forward, level, and at ground floor.
We reserve the right to raise additional charge for deliveries that do not meet these conditions, or for large/bulky items which incur large delivery charges. You will be notified of these charges when you place the order/before we deliver and can cancel the order if not acceptable to you.
Delivery charges are based upon mainland England, Wales and Scotland, some exceptions apply. Delivery to the highlands and islands and other locations may incur additional charges which we will notify to you of before we despatch your order, and you or we may decide to cancel the order if the charges are not acceptable.
All delivery and handling fees are charged for these services associated with the delivery of our products or other services to you, and are non refundable once the delivery or handling service has been performed.

Delivery Schedule All shipments will be made with the minimum of delay. Items held in stock will normally be despatched on the same day providing the order is received before 3.30pm. Working days are Monday to Friday, and exclude Public Bank Holidays in England.

Items made to order or that are not in stock at the time of order will be despatched on the same day that they become available.

Next Day Delivery will normally be made within 24 hours subject to stock availability.
Standard Delivery service aims to deliver within 48 hours, but may take 3 - 5 days depending on carrier and subject to stock availability. Delivery to highlands and islands will depend on the services available by our carriers and agreement of the service and any additional chages with you prior to despatch.

We make best endeavours to get your goods to you as soon as possible.
However, Ardent Systems cannot accept any liability for losses, consequential or otherwise, incurred as a result of later than expected delivery.

Back Orders If your item is not in stock, we will back order for you. If your item will not return to a stock situation within 5 working days you will always be emailed with the delivery forecast and have the option to cancel your order if you would rather not wait.

Tax Charges For orders made from the UK or the European Union, 17.5% VAT is added.

Credit Card Security All credit card numbers are encrypted in the software when the order is placed using 128 bit encryption. They are only decrypted after they reach the computer of our Payment Service Provider (PSP). They are not held in clear text on any web site.

Guarantee Should you be unhappy with any aspect of our service or products, please contact us and we will attempt to resolve your issues.

Many of our products are covered by manufacturers warranty, details of which can be provided on request at time of purchase. Your normal statutory rights are unaffected by manufacturers warantees.

Any damage or problems must be notified without delay. Damaged items must be advised within 24 hrs of receipt.

Any price guarantees offered are offered on the basis of like for like comparison with other on-line merchants including all costs including delivery and handling charges etc. The guarantee is for regular pricing only and excludes speciall offers and promotions, and one of quotations. The items subject to a claim must be freely available to the customer making the claim at the time of comparison, e.g it must be in stock. Only one claim will be accepted per customer.
The spirit of such offers is to provide a genuine guarantee against any bona fide offer from other merchants on a like for like sale basis. This will be used to assess the validity of any claim against the price guarantee. Ardent Systems decision on validity of such claims is at the companies discretion and the companies decision will be final.
Please note this is a business to business service and is not for use by consumers. Users agree that they are purchasing in the capacity of a business or business user, and not a consumer.

Returns Policy Customer satisfaction is extremely important to us. Any faulty goods recieved should be notified in writing to Ardent Systems Ltd, as soon as possible and within 3 working days of delivery. Suitable remedy including the replacement will be dealt with as soon as possible.

Refunds will be made only with the express agreement of Ardent Systems Ltd.
If a return is agreed, the return must be made by a method of return or collection agreed in advance with Ardent Systems. Ardent Systems ltd will not be held liable for refunds, if goods are returned without prior agreement, or not made by a pre agreed method of return.

Cancellation of orders for reasons other than for fault or not matching the description will be considered at the discretion of ardent Systems Ltd. Refunds associated with discretionary cancellation and returns may only receive a refund of 65% of the original contract purchase price. The amount of refund may be varied at the discretion of Ardent Systems Ltd. Charges for services such as delivery that have been performed are not liable to any refund.

Exceptions relating to returns for any reason exist in accordance with the relevant laws, are for software, videos, CDs or any transfer media containing but not limited to information, music, video and data.
Exceptions also include, but are not limited to any item made to order, perishable goods, food stuffs, or those that form part of a service that has been contracted to, or other goods or services that have been supplied against other advised or supplementary terms that advise exeption(e.g quotation terms and conditions).
